Creator Program Terms

IMPORTANT: These Creator Program Terms ("Creator Terms") are a legally binding agreement between you and Grassy. By applying to or participating in the Creator Program, you agree to these Creator Terms in addition to our general Terms of Service and Privacy Policy. Please read all terms carefully before applying.

1. Overview and Acceptance

The Grassy Creator Program ("Creator Program" or "Program") allows eligible users ("Creators") to earn money based on engagement with their content on the Grassy platform. By applying to the Creator Program, you acknowledge that you have read, understood, and agree to be bound by these Creator Terms.

Grassy reserves the right to accept or reject any application to the Creator Program in its sole discretion, without providing a reason. Acceptance into the Program is not guaranteed and may be revoked at any time.

2. Eligibility Requirements

To be eligible for the Creator Program, you must:

  • Be at least 18 years of age (or the age of majority in your jurisdiction, whichever is higher)
  • Reside in a country where Stripe Connect is available and be able to complete identity and tax verification through Stripe
  • Have a Grassy account in good standing that complies with our Terms of Service
  • Provide accurate, complete, and up-to-date information during the application and onboarding process
  • Successfully complete the Stripe Connect Express onboarding process, including identity verification and tax information
  • Not have been previously terminated from the Creator Program for violations
  • Not be subject to any sanctions, embargoes, or other restrictions that would prohibit Grassy from making payments to you

Grassy may modify eligibility requirements at any time. Continued participation in the Program constitutes acceptance of any modified requirements.

3. Payment Terms and Earnings Calculation

3.1 Earnings Rate and Creator Fund

Creators earn money based on "Engaged Views" on their eligible content. An "Engaged View" is defined as a view that meets Grassy's engagement threshold criteria, which may include factors such as view duration, interaction type, and other engagement metrics as determined by Grassy in its sole discretion.

Current Rate (Early Creator Bonus)

As of the effective date of these Creator Terms, early Creators earn a fixed rate of $0.02 USD per Engaged View. This rate is designed to reward early participants who help build the Grassy creator community during the platform's growth phase.

Transition to Creator Fund Model

As the platform grows, Grassy will transition from a fixed per-view rate to a Creator Fund model. Under this model, which is used by major platforms including TikTok, Spotify, and others:

  • Grassy will allocate a monthly Creator Fund budget based on platform revenue and growth
  • The Creator Fund will be distributed proportionally among Creators based on their share of total Engaged Views
  • The effective per-view rate will vary based on the size of the Creator Fund and total platform engagement
  • As the platform scales, the per-view rate may decrease, but total Creator payouts are expected to increase

This transition ensures the Creator Program remains sustainable while continuing to reward Creators for great content. We will provide notice before transitioning to the Creator Fund model.

Rate Changes

Grassy reserves the right to modify the earnings rate or payment model at any time. Any changes will apply prospectively to Engaged Views occurring after the change takes effect. Your continued participation in the Program after a rate or model change constitutes acceptance of the new terms.

3.2 Minimum Payout Threshold

Payouts are subject to a minimum threshold of $25.00 USD. If your earnings for a payment period do not meet the minimum threshold, your balance will roll over to the next payment period. Rolled-over balances do not expire, but they are forfeited if your account is terminated for violations of these Creator Terms or the Terms of Service.

3.3 Payment Schedule

Payments are processed monthly, on or around the 1st day of each month, for earnings accrued during the previous calendar month. Payments may be delayed due to holidays, weekends, payment processor delays, fraud review, or other factors. Grassy is not responsible for delays caused by third-party payment processors.

3.4 Budget Caps and Limitations

Grassy maintains a monthly budget cap for Creator Program payouts. If total Creator earnings exceed the budget cap in any given month, payments may be reduced proportionally across all Creators. Grassy reserves the right to adjust budget caps at any time without notice.

3.5 Payment Processing

All payments are processed through Stripe Connect Express. By participating in the Creator Program, you agree to Stripe's Connected Account Agreement and any other applicable Stripe terms. Grassy is not responsible for any issues, delays, or fees imposed by Stripe or your financial institution.

You are solely responsible for ensuring your Stripe account information, including bank account details, is accurate and up-to-date. Grassy is not liable for payments sent to incorrect accounts due to information you provided.

3.6 Deductions and Adjustments

Grassy reserves the right to deduct from your earnings or future payments any amounts that were paid in error, resulted from fraudulent activity, or violate these Creator Terms. This includes, but is not limited to:

  • Earnings from artificial or manipulated engagement (including self-views, bot traffic, coordinated viewing schemes, or purchased engagement)
  • Earnings from content that is later found to violate our Terms of Service or Community Guidelines
  • Overpayments due to technical errors or miscalculations
  • Chargebacks, reversals, or clawbacks required by payment processors or financial institutions

4. Tax Obligations

You are solely responsible for all taxes, duties, levies, and other governmental charges arising from your participation in the Creator Program. This includes, but is not limited to, federal, state, and local income taxes, self-employment taxes, and any other applicable taxes.

By participating in the Creator Program, you acknowledge and agree that:

  • You are an independent contractor, not an employee of Grassy. No employment, partnership, joint venture, or agency relationship is created by these Creator Terms.
  • Grassy will not withhold any taxes from your payments unless required by law. You are responsible for making estimated tax payments and filing all required tax returns in your jurisdiction.
  • You must provide accurate tax information during onboarding through Stripe. Stripe and/or Grassy may issue tax forms as required by applicable law (e.g., Form 1099 in the United States for earnings of $600 or more).
  • Failure to provide accurate tax information may result in withholding, payment holds, or termination from the Program.
  • Grassy is not responsible for providing tax advice. You should consult a qualified tax professional regarding your tax obligations in your country.

5. Content Rights and Licensing

5.1 Your Content

You retain ownership of the content you create and post on Grassy ("Creator Content"). However, by participating in the Creator Program and posting Creator Content, you grant Grassy the rights described in our Terms of Service, including a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, display, and create derivative works from your Creator Content.

5.2 Monetization Rights

By participating in the Creator Program, you grant Grassy the right to monetize your Creator Content through any means, including but not limited to advertising, sponsorships, partnerships, and other commercial arrangements. You acknowledge that you may not receive additional compensation beyond the Engaged View payments specified in these Creator Terms for such monetization.

5.3 Content Requirements

All Creator Content must comply with our Terms of Service and Community Guidelines. Additionally, Creator Content must:

  • Be golf-related or relevant to the Grassy community. Eligible content includes, but is not limited to: golf course content, round recaps, swing tips and instruction, gear reviews, golf lifestyle, golf humor, golf travel, and content about the Grassy platform or community. Content that is unrelated to golf or the Grassy ecosystem is not eligible for monetization and may result in removal from the Creator Program.
  • Not be AI-generated. AI-generated images, videos, or other synthetic media are not eligible for monetization. AI-assisted editing of real content (such as filters, color correction, or background removal) is permitted, but fully AI-generated content is prohibited.
  • Be original content created by you, or content you have full rights to post and monetize
  • Not infringe any third-party intellectual property rights, including copyrights, trademarks, or rights of publicity
  • Not contain any content licensed from third parties that prohibits monetization
  • Not contain any music, images, video clips, or other media unless you own the rights or have obtained proper licenses
  • Comply with all applicable laws, including FTC guidelines on endorsements and disclosures

5.4 Disclosure Requirements

If you receive any compensation, free products, or other benefits from third parties in exchange for creating content, you must clearly and conspicuously disclose the relationship in accordance with FTC guidelines and applicable law.

6. Prohibited Conduct

The following activities are strictly prohibited and may result in immediate termination from the Creator Program, forfeiture of earnings, and/or account suspension or termination:

  • Artificial Engagement: Creating, purchasing, or soliciting fake views, likes, comments, or other engagement metrics. This includes using bots, click farms, engagement pods, or any automated or coordinated schemes to inflate engagement.
  • Self-Viewing: Repeatedly viewing your own content to generate earnings, including through multiple accounts, devices, or IP addresses.
  • View Manipulation: Embedding or distributing your content in a manner designed to generate views without genuine user interest (e.g., auto-playing videos, pop-unders, forced viewing).
  • Account Fraud: Creating multiple accounts to participate in the Creator Program, misrepresenting your identity, or providing false information during application or onboarding.
  • Payment Fraud: Attempting to manipulate, hack, or exploit the payment system, or providing false bank account or tax information.
  • Content Violations: Posting content that violates our Terms of Service, Community Guidelines, or applicable law.
  • Circumvention: Attempting to circumvent, disable, or interfere with any security, tracking, or enforcement mechanisms related to the Creator Program.
  • Collusion: Coordinating with other users or Creators to artificially inflate engagement or manipulate the Program.

Grassy uses automated systems and manual review to detect prohibited conduct. Participation in prohibited conduct may be detected at any time, including retroactively, and may result in deduction or clawback of previously paid earnings.

7. Termination

7.1 Termination by Grassy

Grassy may suspend or terminate your participation in the Creator Program at any time, for any reason or no reason, with or without notice. Reasons for termination may include, but are not limited to:

  • Violation of these Creator Terms, our Terms of Service, or Community Guidelines
  • Fraudulent or prohibited conduct
  • Extended period of inactivity
  • Discontinuation or modification of the Creator Program
  • Legal, regulatory, or business reasons

7.2 Effect of Termination

Upon termination:

  • If termination is for cause (e.g., fraud or violations), you forfeit all unpaid earnings and rolled-over balances.
  • If termination is without cause, Grassy will pay any earned and undisputed amounts that meet the minimum payout threshold within 90 days, less any deductions or adjustments.
  • Amounts below the minimum payout threshold at the time of termination are forfeited.
  • Grassy may retain and use your information as described in our Privacy Policy.

7.3 Termination by You

You may withdraw from the Creator Program at any time by contacting us at [email protected]. Upon voluntary withdrawal, you will receive any earned and undisputed amounts that meet the minimum payout threshold, subject to the standard payment schedule.

8. Disclaimers

THE CREATOR PROGRAM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. GRASSY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES THAT THE PROGRAM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
  • WARRANTIES REGARDING THE ACCURACY OF ENGAGEMENT TRACKING OR EARNINGS CALCULATIONS
  • WARRANTIES THAT YOU WILL EARN ANY SPECIFIC AMOUNT OR THAT EARNINGS WILL MEET YOUR EXPECTATIONS

GRASSY DOES NOT GUARANTEE ANY MINIMUM LEVEL OF EARNINGS, VIEWS, OR ENGAGEMENT. YOUR EARNINGS DEPEND ON MANY FACTORS OUTSIDE GRASSY'S CONTROL, INCLUDING USER BEHAVIOR, CONTENT QUALITY, AND MARKET CONDITIONS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • GRASSY'S TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE CREATOR PROGRAM WILL NOT EXCEED THE TOTAL AMOUNT PAID TO YOU UNDER THE PROGRAM IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.
  • GRASSY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • GRASSY IS NOT LIABLE FOR ANY DELAYS, ERRORS, OR FAILURES IN PAYMENT PROCESSING CAUSED BY THIRD-PARTY PAYMENT PROCESSORS, BANKS, OR FINANCIAL INSTITUTIONS.
  • GRASSY IS NOT LIABLE FOR ANY TAX OBLIGATIONS, PENALTIES, OR INTEREST RESULTING FROM YOUR PARTICIPATION IN THE PROGRAM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Grassy and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your participation in the Creator Program
  • Your Creator Content, including any claims of intellectual property infringement
  • Your violation of these Creator Terms, the Terms of Service, or applicable law
  • Your tax obligations or failure to comply with tax laws
  • Any dispute between you and a third party related to your content or participation in the Program

11. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

11.1 Informal Resolution

Before filing any claim, you agree to attempt to resolve the dispute informally by contacting us at [email protected]. We will attempt to resolve the dispute within 60 days.

11.2 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Creator Terms or the Creator Program will be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. The arbitration will be conducted in English, and the arbitrator's decision will be final and binding.

11.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate claims or preside over any class or representative proceeding.

11.4 Exceptions

Either party may bring a claim in small claims court if it qualifies. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent infringement of intellectual property rights.

11.5 Opt-Out

You may opt out of the arbitration and class action waiver provisions by sending written notice to [email protected] within 30 days of accepting these Creator Terms. The notice must include your name, address, and a clear statement that you wish to opt out.

12. Modifications to These Terms

Grassy may modify these Creator Terms at any time. We will provide notice of material changes by posting the updated terms on this page and updating the "Last updated" date. We may also provide additional notice through the app or via email.

Your continued participation in the Creator Program after the effective date of any modifications constitutes acceptance of the modified terms. If you do not agree to the modified terms, you must withdraw from the Program.

13. Governing Law

These Creator Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any legal action not subject to arbitration will be brought exclusively in the state or federal courts located in Delaware.

14. Miscellaneous

  • Entire Agreement: These Creator Terms, together with the Terms of Service and Privacy Policy, constitute the entire agreement between you and Grassy regarding the Creator Program.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • No Waiver: Grassy's failure to enforce any provision does not constitute a waiver of that provision.
  • Assignment: You may not assign these Creator Terms. Grassy may assign these Creator Terms without restriction.
  • No Third-Party Beneficiaries: These Creator Terms do not create any third-party beneficiary rights.
  • Survival: Sections regarding payment obligations, taxes, indemnification, limitation of liability, dispute resolution, and any other provisions that by their nature should survive, will survive termination.
