1. Acceptance of These Terms

These Terms of Service ("Terms") govern your access to and use of the Grassy mobile application and our website (collectively, the "Services"). By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2. Eligibility and Accounts

• You must be at least 13 years old to use the Services.
• You are responsible for activities that occur under your account and for maintaining the confidentiality of your login credentials.
• You agree to provide accurate information and keep it updated.
• You may create and maintain only one account for your personal use. Accounts may not be created by automated means, bots, or scripts, and you may not create accounts on behalf of others without authorization.

3. License to Use the Services

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use.

You may not:

• Copy, modify, or create derivative works of the Services
• Reverse engineer, decompile, or attempt to extract source code except as permitted by law
• Interfere with or disrupt the Services, including attempting to bypass security or access controls
• Use automated means to scrape or harvest data without our permission

4. User Content and Permissions

The Services may allow you to submit, upload, store, or share content (including ratings, reviews, text, photos, videos, scorecards, and documents) ("User Content"). You retain ownership of your User Content, but you grant Grassy a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify (for formatting/display), distribute, and display your User Content in connection with operating and improving the Services.

If you provide feedback, suggestions, or ideas about the Services ("Feedback"), you grant us the right to use the Feedback without restriction or compensation.

You represent and warrant that:

• You have the rights necessary to grant the license above.
• Your User Content does not violate law or infringe the rights of others.
• Your User Content complies with these Terms.
• You have all rights necessary in any content you upload for automated processing (for example, scorecard images, launch-monitor screenshots, and PDF reports submitted to AI-powered features).

5. Community Guidelines and Prohibited Conduct

Grassy is a golf community. Content posted to the Services should be golf-related or relevant to the Grassy community (including golf courses, rounds, tips, gear, lifestyle, travel, humor, and community discussion).

You agree not to:

• Post unlawful, harmful, hateful, harassing, deceptive, or otherwise objectionable content
• Post content unrelated to golf or the Grassy community
• Post AI-generated images, videos, or other synthetic media (AI-assisted editing of real content is permitted, but fully AI-generated content is not allowed)
• Impersonate others or misrepresent your affiliation
• Spam, solicit, phish, or engage in fraud
• Upload malware or attempt to compromise the Services
• Violate others' privacy (including sharing personal information without permission)
• Manipulate, falsify, or interfere with referral, invite, or attribution mechanisms (including invite links, invite codes, and QR codes)
• Create accounts by automated means, or create or operate fake, duplicate, or throwaway accounts for any purpose (including to earn rewards, entries, or credits)

We may (but are not required to) monitor, remove, or restrict content or accounts at any time for any reason, including to enforce these Terms or protect users.

6. Location, Notifications, and Device Features

Some features may rely on optional device permissions such as location, contacts, photos, microphone/speech input, and notifications. If you enable these permissions, you agree that the Services may use them to provide features like nearby course discovery, course arrival reminders, on-course GPS, voice dictation, friend discovery, and sharing tools. You can manage permissions in your device settings.

7. Third-Party Services, Content, and Links

The Services may integrate with or link to third-party services (for example, map providers, search providers, video delivery networks, chat infrastructure, payment processors, or social media platforms). We do not control these third parties and are not responsible for their content, policies, or practices. Your use of third-party services is governed by their terms and policies.

GIF content available in comments and messaging is provided by GIPHY, and your use of that content is subject to GIPHY's terms of service.

We may display sponsored, promotional, or partner content within the Services from time to time. Sponsored content will be governed by these Terms and applicable law, and any third-party offers presented in the Services are the responsibility of the third party making the offer.

If you access the Services via Apple's App Store, you also agree to the applicable Apple terms, and Apple is not responsible for the Services beyond what is required by law.

8. AI Features

The Services include artificial intelligence features, including "Grassy AI" (also referred to in-app as the AI Caddie), such as conversational assistance, scanning and extraction of data from scorecards and launch-monitor results (including screenshots and PDF uploads), round narration, and performance insights (collectively, "AI Features").

• Automated output: AI Features produce automated, machine-generated output. Output is provided "AS IS" for informational and entertainment purposes only and may be inaccurate, incomplete, or outdated. We make no warranty as to the accuracy, reliability, or completeness of any AI output, and you should independently verify information before relying on it. AI output is not professional advice of any kind.
• Usage limits: Use of AI Features is subject to usage limits, including tier-based monthly limits that vary by subscription level. We may change limits, models, features, or availability at any time.
• Your content: You must have all rights necessary to any content (including images, screenshots, and PDF documents) that you upload for processing by AI Features, and such content is User Content subject to Section 4.
• Processing: Content you submit to AI Features may be processed by third-party AI service providers on our behalf, as described in our Privacy Policy.

9. Merchandise

Grassy offers merchandise for sale through our Shopify-powered online store at shop.grassy.golf (the "Store"). Purchases made through the Store are subject to the terms, shipping, return, and refund policies posted on the Store at the time of purchase. Product cards or promotions shown in the app are advertisements for our own Store; completing a purchase occurs on the Store, and payment is processed by Shopify and its payment providers. We do not receive or store your payment card details for Store purchases.

10. Privacy

Your use of the Services is subject to our Privacy Policy, which is incorporated into these Terms by reference.

11. Intellectual Property

The Services, including all software, text, graphics, logos, and other content (excluding User Content), are owned by Grassy and its licensors and are protected by intellectual property laws. We reserve all rights not expressly granted.

12. Copyright

We respect intellectual property rights. If you believe content on the Services infringes your copyright, you may contact us at [email protected] with sufficient information for us to investigate (including identification of the work, the allegedly infringing material, and contact information).

13. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

Course information, ratings, statistics, AI-generated output, and user-generated reviews are provided for informational purposes and may be inaccurate or outdated. You assume all risk for your use of such information.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRASSY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

IN NO EVENT WILL OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF (A) $100 USD OR (B) THE AMOUNT YOU PAID US (IF ANY) FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

15. Indemnification

You agree to indemnify and hold harmless Grassy and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services, (b) your User Content, or (c) your violation of these Terms.

16. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms or if we need to do so to protect the Services or users. You may stop using the Services at any time. Upon termination for cause (including fraud or manipulation of referral, engagement, or attribution systems), any unpaid credits, earnings, or rewards may be forfeited to the extent permitted by law.

17. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. If changes are material, we may provide additional notice.

18. Governing Law

These Terms are governed by applicable United States law and, to the extent applicable, the laws of the jurisdiction where Grassy is established, without regard to conflict of law principles.

20. Creator Program

Grassy may offer a Creator Program that allows eligible users to earn money based on engagement with their content and, where offered, qualifying invites. Participation in the Creator Program is subject to separate Creator Program Terms, which are incorporated into these Terms by reference.

Key Terms (Summary Only - Full Terms Apply):

• Eligibility: You must be 18+ years old, reside in a Stripe-supported country, and complete identity and tax verification through our payment processor.
• Earnings: Earnings rates — including per-view rates and any per-invite rewards — are not guaranteed and may change at any time. Early Creators currently earn $0.02 per engaged view. View-based earnings are subject to a monthly program budget: as the platform grows, Grassy will transition to a Creator Fund model where a monthly budget is distributed proportionally among Creators based on their engaged views, and per-view amounts may be proportionally adjusted or decrease as the platform scales.
• Payouts: Payouts require completed Stripe onboarding and are subject to a $25 minimum payout threshold. Grassy may withhold or delay payouts while a fraud or compliance review is pending.
• Independent Contractor: Creators are independent contractors, not employees. You are solely responsible for all taxes on your earnings.
• Content Requirements: All content must be golf-related or relevant to the Grassy community, comply with our Terms of Service, and be original or properly licensed.
• Prohibited Conduct: Artificial engagement, view manipulation, self-viewing schemes, referral or attribution manipulation, and fraud are strictly prohibited and may result in termination and forfeiture of earnings.
• Termination: Grassy may terminate your participation at any time. Earnings may be forfeited upon termination for cause.
• No Guarantees: Grassy does not guarantee any minimum earnings, views, or engagement. Rates and payment models are subject to change.

By applying to or participating in the Creator Program, you agree to the full Creator Program Terms, including provisions regarding payment, taxes, content rights, prohibited conduct, termination, arbitration, and class action waiver.

21. Creator Invite & Earn Program

Grassy may offer eligible Creators the ability to earn credits for inviting new users to Grassy (the "Invite & Earn Program"). The Invite & Earn Program is part of the Creator Program and is subject to the Creator Program Terms and this Section.

Qualifying Invites and Credits:

• Eligible Creators earn a credit of $1.00 USD for each "Qualifying Invite." A Qualifying Invite is a new Grassy account that (a) is registered through the Creator's unique invite link or invite code, (b) is created within 7 days of referral attribution, and (c) completes onboarding.
• Invite credits are capped at $100 USD per Creator per calendar month. Credits beyond the monthly cap do not accrue and do not roll over to future months.
• Only genuinely new accounts qualify. Accounts belonging to existing users, re-registrations, or accounts that fail our verification and integrity checks do not qualify.
• Grassy's determinations regarding whether an invite qualifies and whether a credit has been earned are final.

Promotional Program:

• The Invite & Earn Program is a limited-time promotional program. Grassy may modify, suspend, or terminate the program — or any individual's participation in it — at any time, for any reason, without prior notice.
• Accrued but unpaid credits may be forfeited if we determine that you engaged in fraud or violated these Terms or the Creator Program Terms.

Payouts:

• Invite credits are paid out through the standard Creator payout system (processed by Stripe) and are subject to the $25 minimum payout threshold and completed Stripe onboarding.
• Credits have no cash value unless and until paid out, and are non-transferable.
• You are solely responsible for all taxes on amounts you receive.

Anti-Fraud:

• Self-referrals, fake or duplicate accounts, incentivized or automated signups, and any manipulation of invite links, codes, or attribution are strictly prohibited.
• Violations may result in disqualification from the program, forfeiture of accrued credits, and suspension or termination of your Grassy account.

22. Sweepstakes, Contests, and Giveaways

From time to time, Grassy may offer sweepstakes, contests, or giveaways ("Promotions") through the Services. Each Promotion will be governed by specific Official Rules that will be made available at the time of the Promotion.

General Terms for All Promotions:

• NO PURCHASE NECESSARY. No purchase or payment is necessary to enter or win any Promotion. A purchase will not increase your chances of winning.
• Eligibility: Unless otherwise specified, Promotions are open to legal residents of the 50 United States and the District of Columbia who are 18 years of age or older at the time of entry. Employees of Grassy and their immediate family members are not eligible.
• Void Where Prohibited: Promotions are void where prohibited or restricted by law.
• Profile Requirements: To be eligible to participate, you must have a complete Grassy profile including a profile photo, verified email address, home course, and at least 3 course ratings.
• Winner Selection: Winners will be selected at random from all eligible entries received during the Promotion period. Odds of winning depend on the total number of eligible entries received.
• Prizes: Prizes are non-transferable and must be accepted as awarded. No cash or other substitution is available except at Grassy's sole discretion. All taxes on prizes are the sole responsibility of the winner.
• Publicity: By participating, you grant Grassy the right to use your name, username, profile image, and likeness for promotional purposes without additional compensation, except where prohibited by law.
• Release: By participating, you release Grassy and its affiliates, officers, directors, employees, and agents from any liability arising from your participation in the Promotion or acceptance/use of any prize.
• Disqualification: Grassy reserves the right to disqualify any participant who tampers with the entry process, violates the Official Rules, or acts in a disruptive or unsportsmanlike manner.

Entry Methods:

Promotions may offer multiple ways to earn entries. Unless otherwise specified in the Official Rules, the following entry methods apply:

Daily Check-In Entries:

• Eligible participants may check in once per calendar day (based on Pacific Time) to earn entries.
• Each daily check-in earns 1 base entry.
• Consecutive daily check-ins build a "streak" that earns bonus entries as follows:
  • Days 1-2: No streak bonus (1 entry per check-in)
  • Days 3-6: +1 bonus entry per check-in (2 entries total)
  • Days 7-13: +2 bonus entries per check-in (3 entries total)
  • Days 14-29: +3 bonus entries per check-in (4 entries total)
  • Days 30+: +5 bonus entries per check-in (6 entries total)
• Missing a day resets your streak to zero. Streaks do not carry over between Promotions.

Friend Invite Entries:

• Earn entries by inviting friends to join Grassy using your unique invite code.
• Only friends who join during the active Promotion period count toward your entries.
• Friend invite entries are awarded in tiers:
  • 1 friend joins: 5 entries
  • 3 friends join: 15 entries total
  • 7 friends join: 35 entries total
• These are cumulative totals, not additional entries per tier.
• Friend invite counts and entries reset for each new Promotion.

Promotions offered through the Grassy iOS app are in no way sponsored, endorsed, administered by, or associated with Apple Inc. You understand that you are providing information to Grassy and not to Apple. Any questions, comments, or complaints regarding any Promotion should be directed to Grassy at [email protected].

Referral Program Terms:

When Promotions include referral-based entries, the following applies:

• Only referrals made during the active Promotion period will count toward entries.
• Referred users must create a valid account and meet any specified eligibility requirements.
• Self-referrals, fake accounts, or fraudulent referrals will result in disqualification.
• Referral entries from previous Promotions do not carry over to new Promotions.
• Creating multiple accounts to generate fraudulent referrals is prohibited and will result in permanent disqualification from all Promotions.
• In the event of a tie in activated referrals, ranking will be determined by the participant's total number of giveaway entries.

Winner Notification and Prize Fulfillment:

• Winners will be notified via the email address associated with their Grassy account within 48 hours of the drawing.
• Winners must respond within 7 days to claim their prize; failure to respond may result in forfeiture and selection of an alternate winner.
• Prizes will be shipped to a valid U.S. address within 4-6 weeks of winner confirmation.
